Welcome to Centrul Minerva.

The mission of Centrul Minerva is to improve the chances of children, adolescents and young adults to succeed in life, through learning.

1. PARTS AND DEFINITIONS

This service agreement (hereinafter: “Agreement”) is a legal service and sales contract between Lukarma SRL (hereinafter: “Centrul Minerva”, “we” or “us”) and the entity (hereinafter: “you”, “your”, “Client”, “Student” or “User”) who has registered with Centrul Minerva for language teaching, learning, practice and assessment/testing services and other teaching/learning services offered by Centrul Minerva and its affiliates (each a “Service” or a “Course”). This Agreement describes the terms and conditions that apply to your use of the Services.

If you do not understand any of the terms of this Agreement, please contact us before using the Services.

You may access or use our Services only if you agree to comply with all the terms and conditions of this Agreement and if you accept the Centrul Minerva Privacy Policy available at https://www.centrulminerva.ro/documente/politica-de-confidentialitate/.

2. COMPANY DETAILS

Centrul Minerva is a trade name of Lukarma SRL, a company registered in Romania under Unique Registration Code 22227846.

3. OTHER DEFINITIONS

“Child”—any person(s) who has NOT reached the age of 18, regardless of the age of majority in the Child’s country of residence or country of origin.

“Adult”—any person who has reached the age of 18, regardless of the age of majority in the person’s country of residence or country of origin.

“Your Child”, “Customer’s Child”—the person of whom you, the Customer, are the parent or legal guardian,

“Student”—person participating in a Centrul Minerva Course. The Student can be the Client, the Client’s Child, or persons designated by the Client, when the Client is an entity other than a natural person.

“Teacher”—the natural person who is in a contractual relationship with Centrul Minerva and who teaches the Course to the Student.

“Video Conferencing Platform”—Google Meet application available at https://meet.google.com/ and also on official applications.

“Minimum Period”—the minimum length of time for which the Client undertakes to pay for a Course for which he has enrolled.

“Stripe”—Centrul Minerva’s billing and payment partner, with its main website available at https://stripe.com/.

“Day”—calendar day, unless a business day is explicitly specified.

“Additional rates”—the list published at https://www.centrulminerva.ro/documente/tarife-suplimentare/ which includes prices and rates, other than the rate for the Course.

“Course Calendar”—the list of days or weeks in which the Course is held.

5. LEVEL EVALUATION

We may require a Student to participate in a placement assessment prior to enrolling in a Course.

6. COURSE ENROLLMENT

Course places are limited. Registration is on a first-come, first-served basis.

When the Student is a Child, the enrollment will be made by an Adult with the role of parent or legal guardian of that Child. The Child’s full name will be specified at registration. The Customer agrees not to send us any other contact details of the Child other than those requested. For example, we may ask you for your Child’s email address to provide access to homework on the specified theme platform, etc.

When the Student is an Adult, registration will be done directly by him or by the company.

Enrollment in a Course represents a firm order of the Service, with the Client’s obligation to pay, according to this Agreement.

Centrul Minerva reserves the right to cancel registration if:

  • payment of the first invoice (for advance payment, Course fee or registration fee) is not made by the due date / deadline;
  • finds or suspects that the data in the Course registration form is not true;
  • The Student is not eligible for the Course for which registration was made;
  • the number of enrolled Students is below the minimum threshold.

In the event of cancellation, we will inform you and refund all amounts due within 14 days of the date of cancellation.

If you have paid after the due date and no place is available, we will refund all amounts due within 14 days of the date of payment.

7. COURSE MATERIALS

Obtaining the Course materials is a condition of attending the Course.

In addition to the situations below, we may sometimes recommend that you purchase course materials from the market.

7.1 Buying from Centrul Minerva

Where delivery of Course materials is free:

  • we deliver free of charge only on the territory of Romania, in the areas covered by the courier/couriers we work with;
  • if delivery to the address provided by the Customer is unsuccessful, the Customer is responsible for paying for a new shipment as per our delivery rates.

8. TYPES OF COURSES. CONDUCT OF COURSES AND PARTICIPATION IN THE COURSE

8.1 Types of Courses

We offer the following types of Courses:

  • Individual courses (one-to-one) , in the classroom at our location or online
  • Group courses , in the classroom at our location or online
  • Third-Party Group Classes — take place at third parties, such as, but not limited to, preschools, afterschools, clubs.

Live Conversations with British Native Speakers fall under One-to-one Courses.

8.2 Conduct of Courses. Participation in the Course

Sessions start exactly at the announced time; sessions end exactly at the announced time or a few minutes after it.

Classroom Course sessions are held in our Course classroom specified in the Course description. We reserve the right to use a different classroom for the Course, in case of force majeure.

We reserve the right to switch from classroom teaching to online teaching depending on regulations or the local epidemiological situation. When we switch to online teaching, we reserve the right to change the Course offering—the days and times and the Teacher; however, we will do our best to keep the offer unchanged.

Online courses are held on the Google Meet platform, available at https://meet.google.com and on the official applications. You can learn more about Google Meet at https://support.google.com/meet/?hl=en. In order to be able to participate in an online Course, the Client is responsible for the Student’s access to appropriate hardware equipment, including a microphone and camera, broadband Internet, according to the “Learn what requirements you need to use Google Meet” page at https://support.google.com/meet/answer/7317473?hl=en. The Student will allow access to the microphone and camera on the device used and will keep the camera open in the Course.

Centrul Minerva can refuse participation in the Course in the event of payment delays. Acceptance of a Student for a session in the situation where there are delays in payment still preserves the Client’s obligation to pay.

The teacher can send assignments and materials to the Students by email (in the case of Child Students, the emails will be sent to the Client), on the Google Classroom platform available at https://classroom.google.com/ and on the official applications, and/or on the official Cambridge platforms.

During the online sessions of the Course, both Student and the Client will comply with the Guide for online sessions available at https://www.centrulminerva.ro/documente/ghid-online/, which is an integral part of this Agreement.

Centrul Minerva reserves the right to remove a Student from the Course temporarily or until the end of a session if his behavior significantly disrupts the course or when this Agreement is seriously violated during the session. This will be in line with our Child Protection Policy. You accept that in such situations the session will be charged as usual.

You accept that Centrul Minerva reserves the right to definitively exclude a Student from all Courses in which he is enrolled in the following situations:

  • in the situation where the Customer has an outstanding invoice;
  • in case of repeated breach of this Agreement, after written warning notice from us;
  • in case of a serious deviation from this Agreement, in case of behavior of an indecent, violent, illegal or disturbing nature for other Students or for the Teacher; the decision to exclude will be final, and will be made without any prior notice;
  • in case of a significant number of absences of the Student;
  • in the case of frequent lateness of the Student to the Course;
  • in other situations carefully analyzed by Centrul Minerva, when the Course is considered unsuitable for the Child.

The sums of money that the Client owes Centrul Minerva in the event of a definitive exclusion are equal to the sums of money that the Client would have owed Centrul Minerva if they had notified Centrul Minerva of the termination of the Course according to the title “18.2 Termination of a Course” on the date of exclusion, and the date of notification would have been after the first 14 days after enrolling in the Course;

Bringing and picking up the Child to and from the face-to-face Course is done according to the Centrul Minerva Child Protection Policy at the address https://www.centrulminerva.ro/documente/protectia-copilului/, a policy that is an integral part of this I agree.

9. RECORDING OF SESSIONS

You accept that Centrul Minerva may record the online and classroom sessions of the Course for the purpose of controlling and improving the quality of the Services provided and for the purpose of investigating any complaints. Learn more about what is recorded in online session at https://support.google.com/meet/answer/9308681?hl=en.

Recordings will be kept secure and used exclusively for the above purposes.

10. COMMUNICATION REGARDING THE COURSE

Centrul Minerva will send essential information regarding the Course and any changes by email, to the address communicated by the Client upon registration or to the latest email address formally communicated by the Client in case the Client has changed the email address.

An email to the Customer is considered received at the time it is sent. Centrul Minerva is not responsible if the email cannot be received by the Customer for any reason not attributable to Centrul Minerva, such as, but not limited to, the unavailability of the Customer’s email service, filling the Customer’s email box, marking our email as spam to the system used by the Customer.

Centrul Minerva is not responsible if the email address provided by the Customer is incorrect.

We do not communicate directly with a Child Student outside of sessions.

Centrul Minerva can send notifications to remind the Client/Student about the Course sessions. The customer agrees that they are not contractual and that Centrul Minerva is not liable if they are not sent on time or at all, or are delivered or received late. You agree that failure to receive such a reminder is no reason for the Student not to attend Course sessions.

You agree to receive e-mails with assignments and materials for the Course.

You can control the types of communications you receive from third-party platforms—such as, but not limited to, Google Classroom and Cambridge One—on those platforms.

As a rule, we will reply to you the next working day at the latest.

11. PRICING, BILLING AND PAYMENTS

11.1 Introduction

You unconditionally agree to pay the fees for the Services in which you enroll or enroll your Child/Student on time. You also unconditionally agree to pay the Additional Fees where applicable.

For some Group Classes you may opt to check the home assignment, grade/grade it, and send personal feedback outside of the session to the Student outside of the Course on the Google Classroom platform. We may charge an additional fee for this, for each home assignment for which you have availed it, as per the Additional Fees.

11.2 Billing

11.2.1 Introduction

Payment for Courses is made in advance.

Stripe is our billing and payment partner.

On the Invoicing Portal for customers at the address https://billing.centrulminerva.ro you have access, among other things, to the history of invoices and payments, you can pay invoices and you can add and change payment methods.

11.2.2 Billing types

Invoices with manual payment are communicated to Customers by email. The payment term is 72 hours, i.e. 3 (three) calendar days, from the moment the invoice is issued.

Invoices with automatic payment can be downloaded by the Customer from the payment confirmation e-mail, or from the invoicing Portal at the address https://billing.centrulminerva.ro.

Billing and payment for Courses can be done, depending on the Course, as follows:

11.2.2.1 Billing and payment per session

In this variant, invoices for Courses are issued monthly manually, in advance, for the sessions of the following calendar month, or for the current month at the beginning of the Course, and the rate is expressed per Course session. Invoices are sent by email.

Subsequent invoices are issued monthly, after the last session of the month, for the sessions of the following calendar month. If the first session of the following month is less than 7 days away from the last session of the current month, the invoice can be issued before the last session of the month.

As an exception, the first invoice after resuming a Course after a longer period of interruption, such as summer vacation, may be issued up to 6 weeks earlier than the resumption of the Course.

11.2.2.2 Invoicing and payment in installments

In this variant, invoices for Courses are issued at the specified dates/intervals, for payment in installments, in advance, of a Course of longer duration. The rate is expressed per session or as a total rate for the Course, and price per installment.

11.2.2.3 Billing and payment by subscription

In this variant, invoices for Courses are automatically issued monthly, for a fixed amount—the subscription price—regardless of the number of sessions in the month. The number of sessions and the dates of the sessions are announced. The average rate per session is calculated for the entire Course and is announced. This may differ for a Client who enrolls after the start of the Course.

A session is considered paid if the subscription for the period that includes the date of the session has been paid.

For Course registrations after the start day of the Course with subscription payment, the start date of the subscription (of the billing period) is the Monday of the week of the next session.

11.2.3 Payments

You can pay bills manually or add a payment method for automatic payment.

Manual payments are made online, via Stripe, by card or, in some countries, by other payment methods. For payment to our current account, if the account does not appear on the invoice, please contact us. Payment by bank transfer is only available for some currencies.

For automatic payment of invoices when issued, add a payment method (such as card) directly to the Client Invoicing Portal at https://billing.centrulminerva.ro/. Then let us know to activate automatic payment. We’ll sometimes enable automatic payment even if you don’t tell us if you add a payment method directly to the Customer Billing Portal above.

By adding a payment method to the Customer Billing Portal at https://billing.centrulminerva.ro/, you allow Centrul Minerva to debit (charge) the added payment method (for example, but not limited to: card) for any invoice issued pursuant to this Agreement and your requests for Services and products (such as Course books).

You authorize Centrul Minerva to charge any payment method that you have permitted us to charge, even if you have not chosen it as your default payment method generally, or as your payment method for a particular subscription, in the event that any of your invoices are overdue. Centrul Minerva is, however, under no obligation to charge your payment methods in this way, and you are solely responsible, as the Customer, for paying the invoices issued by Centrul Minerva pursuant to this Agreement and your requests for Services and products (such as Course books).

When making a payment, you agree not to use an invalid or unauthorized payment method.

We consider an amount of money to have been paid to Centrul Minerva when:

  • your Stripe card payment has been completed;
  • Stripe has confirmed payment to us, in the case of payment through Stripe by a method other than card, including to a bank account provided by Stripe;
  • the amount of money has reached our checking account (not provided by Stripe) communicated and the payment details contain correct and sufficient data for the correct allocation of the payment.

In the event that a payment is returned, regardless of the reason, the Client is responsible for settling the respective debt to Centrul Minerva.

If the Customer is a business, interest and penalties are charged for late payment as follows: 15% interest or the legal interest rate for late payments, whichever is higher, plus, for delays of more than 15 days from the due date, a lump sum of EUR 40 (the equivalent in the currency of the invoice).

11.3 Fees. Course offer

Centrul Minerva will communicate the following information to the Client, which constitutes the offer for the Course:

For Courses with payment per session:

  • the price of a session;

For Courses paid by subscription:

  • the price of the monthly subscription;
  • number and dates of sessions (Course Calendar);
  • billing period;
  • the average rate per session, calculated for the entire Course (may differ for a Client who registers after the start of the Course), according to the formula:

average rate/session = subscription price × no. billing cycles ÷ no. total sessions Course

The subscription for periods less than one month will be calculated pro rata, that is, based on the elapsed time period from the total time.

For Courses with payment in installments:

  • the number of installments and the value of each installment;
  • number and dates of sessions (Course Calendar);
  • average fee per session, calculated according to the formula:

average rate/session = total cost Course ÷ no. total sessions Course.

The rates for the Courses include, for each session, the following: the actual Course session, the time required by the Teacher to prepare the lesson, the Teacher’s travel, the submission of the assignment—where it exists—and, exclusively for individual Courses, also include hpmework checking and grading/evaluation.

The Course fee—where applicable—as well as the applicable Additional Fees may be included with the subscription or installment payment on the same invoice, and may be charged along with the Course fees.

The number of sessions may vary from one month to another, depending on the Course Calendar, the number of weeks in that month as well as depending on the existence of a vacation or public holidays in that month.

11.4 Promotions and Discounts

We have the right to offer discounts, promotions and special offers to Customers on the dates and for the durations determined only by Centrul Minerva. Where necessary, we will publish separate terms and conditions for these on our Website.

We may also provide certain discount codes that may be used by Customers. These are subject to separate terms and conditions.

11.5 Credit Notes

11.5.1 General

The credit note is the document by which the amount owed on an invoice is reduced.

If the invoice to which a credit note has been applied has not been paid at the time the credit note is issued, the credit note will reduce the payment amount for that invoice.

If the invoice to which a credit note has been applied has already been paid, the total amount on the credit note will be, as applicable:

  • credited to your customer balance (this is the default method);

or

  • refunded to the original payment method—for example, the card used for payment or bank account (refund is used in special cases, such as a credit note for the last Course invoice that is already paid).

In the case of issuing a credit note for a Course with payment in installments or with payment by subscription, the rate for a session is the average rate/session for that Course.

Details about credit notes for absences are under the heading “12. ABSENCES”.

11.5.2 Billing and Pay Per Session Credit Notes

In the case of the end of the Course by the Client exercising the right of withdrawal within 14 days of registration, we will issue a credit note for the value of the sessions invoiced in advance and scheduled in the future compared to the end of the Course.

In case of termination of the Course by the client after the first 14 days after registration, in the case of termination of the Course according to the title “16.1 Changes to the Courses” or the title “23.2 Termination upon modification of the terms of the Agreement” as well as in the case of stopping the Course by Centrul Minerva, we will issue a credit note for the value of sessions billed in advance and scheduled in the future from the time the Course ends/stops.

In case of suspension of the Course, regardless of the duration, we will issue a credit note for the value of the sessions invoiced in advance and scheduled in the future compared to the time of suspension.

11.5.3 Credit Notes for Subscriptions

In the case of ending the Course by the Client exercising the right of withdrawal within 14 days of registration, we will issue a credit note for the difference between the amount paid and the value of the sessions provided or otherwise chargeable according to this Agreement, calculated using the average rate per session communicated at registration.

At the end of the Course after the 14-day period, we will issue a credit note for the prorated value of the subscription period remaining at the end of the Course, regardless of the number of sessions in that subscription period or in the Course period.

In case of suspension of the Course, regardless of the duration, a credit note is issued for the prorated value of the remaining current subscription period, regardless of the number of sessions in the respective subscription period.

11.5.4 Billing and Pay Per Installment Credit Notes

In the case of ending the Course by the Client exercising the right of withdrawal within 14 days of registration, we will issue a credit note for the difference between the full value of the installments paid and the value of the sessions provided or otherwise chargeable according to this Agreement, calculated using the tariff average per session communicated at registration.

In case of suspension of the Course, regardless of the duration, we will issue a credit note when the Course resumes, for the value of the sessions scheduled according to the Course calendar and not carried out during the suspension.

In all other cases, we will issue a credit note for the difference between the total amount of installments billed and the amount of sessions provided or otherwise chargeable under this Agreement, calculated using the average rate per session communicated at sign-up.

11.5.5 Entry Fee Credit Notes

In the case of ending the Course by the Customer exercising the right of withdrawal within 14 days of registration, we will issue a credit note for the full value of the Course registration fee.

In the case of the end of the Course according to the title “16.1 Changes to the Courses”, the title “23.2 Termination upon modification of the terms of the Agreement” as well as in the case of stopping the Course by Centrul Minerva, we will issue a credit note for the amount of the registration fee proportional to the duration of the Course remaining, related to the total period announced for the Course and calculated in weeks.

In all other cases, we will not issue a credit note for the registration fee.

11.6 Customer Balance

Each Customer has a Customer Balance with us to which we may issue credit or debit adjustments.

Adjustments can be a credit (ie we owe the Customer money) or a debit (ie the Customer owes us money). These adjustments add up to a Customer balance that applies to future invoices.

Negative values ​​are treated as a credit (a reduction of the amount owed by the Customer) that will be applied to the next invoice, reducing the payment amount. Positive values ​​are treated as a debit (an increase in the amount owed to us by the Customer) which will be applied to the next invoice, increasing the payment amount.

12. ABSENCES

12.1 Individual Courses

12.1.1 Notification of absences

You agree to notify us unequivocally at the email address birou@centrulminerva.ro as soon as you know that you cannot / the Student cannot attend a scheduled session. Once the absence is announced, the session will be canceled and the window may become unavailable immediately.

12.1.2 Absences notified at least 24 hours in advance

If you have announced your absence by email to birou@centrulminerva.ro at least 24 hours before the start of the scheduled session from which the Student will be absent, we will try to reschedule the session with you on a day and at a time during the Teacher’s schedule, convenient for the Student. If rescheduling is not possible and the session is not held, we will issue, within 7 days from the date of the non-held session, a credit note for the amount corresponding to the tariff of that session.

Once a rescheduling is agreed to, you agree to pay the applicable administrative fee published in Additional Fees.

Also, for each session that is not carried out and not rescheduled, the Minimum Course Period is extended by one session.

12.1.3 Absences notified less than 24 hours in advance

In the situation where you announced your absence by email to birou@centrulminerva.ro less than 24 hours before the start of the scheduled session, we will issue, even if a rescheduling has been agreed, within 7 days at most from the date of the missed session, a credit note for an amount equal to:

  • 70% of the corresponding session fee, if you have announced at least 2 hours before (basically you bear 30% of the session fee);
  • 30% of the fee corresponding to that session, if you have announced less than 2 hours in advance (basically you bear 70% of the session fee).

When announcing the absence after the start of the session, we will not issue any credit note.

If a rescheduling session is agreed, this session will be billed separately, either on an individual invoice or on the next Course invoice.

Once a rescheduling is agreed to, you agree to pay the applicable administrative fee published in Additional Fees.

12.1.4 Unannounced absences

If the Student is absent from the session at the start time of the scheduled session for which you did not notify the absence by email to birou@centrulminerva.ro before the start of the session—absent from the classroom for classroom sessions or absent from the Google Meet session for online sessions—The Teacher will wait for the Student for 20 (twenty) minutes. You agree that if during this time the Student does not show up/log in, the session cannot be rescheduled and you agree that you will not be eligible for a refund of the session fee, if it has been paid; you agree to pay the fee for this session in full if it has not been paid.

You agree that Centrul Minerva is under no obligation to contact the Client or Student if they fail to attend / log in to a session.

If we reschedule the session, you agree to pay the appropriate rescheduling administration fee published in Additional Fees.

12.2 Group Courses in Classroom or Online

This Title 12.2 does not apply to Third Party Group Courses.

You accept that Centrul Minerva is under no obligation to offer the possibility to make up the absent Student’s session and that this may even be impossible.

12.2.1 Notification of absences

You agree to notify us unequivocally at the email address birou@centrulminerva.ro as soon as you know that you cannot / the Student cannot attend a scheduled session for a Group Course. Once the absence is announced, the respective session can be canceled if there are no other Student to participate in the respective session.

12.2.2 Rescheduling a Session

In the event that you notify us of an absence at least 24 hours before the start time of the scheduled session from which the Student will be absent, we will try to offer you participation in another group on another day and/or at another time, in the limit of available seats.

Please note that if you contact us less than 24 hours before your scheduled session start time, we may not be able to respond to you in time to reschedule your session.

Once temporary participation in another group is agreed, the Student’s place in the regular group for that session may immediately become unavailable. The absence procedure will still apply for the new scheduled session. You agree to pay, in the event of a temporary group change, the appropriate administrative fee published in Additional Fees.

12.2.3 Costs

The client does not benefit from an automatic right to reschedule the sessions from which he is absent. You agree that you will not be eligible for a refund for sessions that the Student has missed, except where the Course offer states otherwise.

If you anticipate more absences due to an exceptional situation, you can contact us at birou@centrulminerva.ro to discuss the situation. We may ask for supporting documents if you are in the Minimum Course Period. Our decision will be final.

12.3 Group courses at third parties

This title only applies to Courses conducted at third parties, such as, but not limited to, kindergartens, afterschools, clubs.

You agree to notify us unequivocally at the email address birou@centrulminerva.ro as soon as you know that you cannot / the Student cannot attend a scheduled session for a Group Course. Once the absence is announced, the respective session can be canceled if there are no other Student to participate in the respective session.

For Group Courses at third parties, missed sessions cannot be made up. You agree that you will not be eligible for a refund for sessions that the Student has missed, except where the Course offer states otherwise.

If you anticipate more absences due to an exceptional situation, you can contact us at birou@centrulminerva.ro to assess the situation. We may ask for supporting documents if you are in the Minimum Course Period. Our decision will be final.

12.4 —

This title is intentionally blank.

12.5 Cancellation of a session by the Client

For the purpose of this Agreement, the request to cancel a session is equivalent to the notification of absence for that session.

For cancellations by Centrul Minerva, see heading 16.2.

13. DELAYS

13.1 Student”s lateness

We consider a Student’s arrival to a classroom or to a session at a third-pary, or a Learner’s connection to an online session after the scheduled start time for that session, late.

For Individual Courses, if the Student does not come / log in to the Course within the first 20 minutes of the scheduled start time, he/she will be considered absent according to the heading “12.1 Individual Courses”. In this case, for one-to-one courses, the session will be cancelled, and for group courses, the session will be canceled if no other Learner is present / logged in

In group courses,

If a Student is late more than once, we may not allow them access to group sessions after the start time. You agree that in this situation Centrul Minerva will not return any costs to the Client. We will notify the Customer before applying this policy.

In the situation where the Client announces the delay to an individual course, the Teacher will wait for the Student 20 minutes from the time scheduled for the start of the session, regardless of the announced duration of the delay.

You agree that Centrul Minerva is under no obligation to contact the Client or Student in the event of a delay.

Regardless of the duration of the delay, the end time of the session will not be extended and Centrul  Minerva will not return any costs to the Client.

13.2 Delays due to Centrul Minerva

We consider a delay due to Centrul Minerva the situation where the Student is present at a face-to-face Course / connected (or waiting) to the Google Meet session but the scheduled session (not canceled) does not start at the scheduled start time for that session.

If you do not have access to the Course location at the start time of the Course, check https://status.centrulminerva.ro/ if there is any delay/cancellation announced.

If you can’t connect to your Google Meet session, see topic 14.

If the session starts late due to us (including due to the Teacher being late), where possible, the session will be extended accordingly with the consent of the Student/Students. If the session is not extended, we will issue a credit note for the unscheduled period, according to the rate for that session.

If the delay is more than 20 minutes, the Student may leave the venue (in accordance with our Child Protection policy) or the online session, this not being considered an absence of the Student. In this case, the session is considered canceled for that Student and the heading “16.2 Cancellation of a session” applies. In addition to the provisions of this title, in the situation where the Client is not in arrears for the invoice corresponding to the canceled session, we will issue, as a bonus, a credit note for 30% of the price of the session in question, within 7 days at most from the date of the canceled session, and for group and third-party group courses.

14. THE IMPOSSIBILITY OF (RE)CONNECTING TO AN ONLINE SESSION

If the Student is unable to connect to an online session, check that they are using the correct link or code for the session. If the problem persists, see the “Google Meet Known Issues” page at https://support.google.com/meet/answer/7290456?hl=en. Check if there is any delay/cancellation announced on the page https://status.centrulminerva.ro/ . Check for any known outages of Google Meet on the status page at https://www.google.com/appsstatus/dashboard/ .

If the Learner cannot connect to an online session and you think it is because of the Google Meet platform or ours, contact us immediately by email at birou@centrulminerva.ro with the problem encountered and the session link/code used. If the login attempt is not found in the Google Meet logs in our account, further complaints will not be considered.

If the Learner is unable to connect tosessiona meeting due to the malfunctioning of a service used by Centrul Minerva, including Google Meet, through the direct fault of Centrul Minerva or the service provider used by Centrul Minerva, we will issue, at most 7 days from the date of the respective session, a credit note for the amount corresponding to the tariff of the respective session.

You agree that the Google Meet platform is considered down for purposes of this Agreement only when so specified and for the duration specified on the system status page at https://www.google.com/appsstatus/dashboard/.

If a Student logs out during a session, the Teacher may stop and cancel the remainder of the session 20 minutes after the last Student logged in, but no later than the end time of the session. In this case, the Client is not eligible for any reimbursement of the session fee, nor for its recovery.

The Client is not eligible for a refund of the fee for a session fully or partially lost due to reasons related to the Client/Student and which lead to the impossibility of connecting the Student to the session, including, but not limited to, the interruption of the electricity supply at the Student’s location, interruption of the internet service at the Student’s location, failure of a hardware device used by the Student, loss of the connection link or the use, due to the fault of the Client/Student, of an incorrect connection link.

15. CUSTOMER’S OBLIGATIONS

When signing up, the Customer undertakes to provide his and, if applicable, the Child’s data correctly.

You agree to notify us by email at bioru@centrulminerva.ro or on the Stripe invoicing portal for Centrul Minerva customers at https://billing.centrulminerva.ro/ any changes to the data provided during registration, within 3 (three) days after the modification. Some information cannot be updated on the Billing Portal but only by email to the above address.

If you have a Child attending our Face-to-Face Classes, you agree to notify us of your change of emergency contact details no later than the day before the next session begins, using the form at https://www.centrumminerva.ro/clienti/.

The Client agrees not to open links sent via chat or otherwise by other Student and to advise the Student, when the Client is not a Student, not to open such links. Please note that the Teacher may send links to appropriate resources.

The Client undertakes to ensure that no person other than the Student will participate/assist in the video camera at any online session. In the event that another person(s) other than the Student participates/attends the course, the Client accepts the issuance of an invoice in his name for the participation of the other person(s) in the Course and agrees that he is responsible for the payment of this invoice.

The Client accepts that it and the Student, where the Client and the Student are different persons, have no right to make video and/or audio recordings, screenshots, photographs or otherwise save, preserve or publish the session or any part of it the online session. They also agree that they are not allowed to film or photograph Children on our premises.

In the event of damage caused by the Student’s malicious intent or negligence to goods belonging to us or for which we are responsible, the Client is responsible for indemnifying Centrul Minerva.

The Customer undertakes to comply with this Agreement as well as the documents that are an integral part of it, and to ensure that it properly guides the Child on how to use the Google Meet platform and the relevant rules of this Agreement and the documents that are an integral part of it.

16 CHANGES TO COURSES BY US

16.1 Changes to Courses

You agree that Centrul Minerva reserves the right to make changes to the Courses.

In the event that we unilaterally change the day(s) and/or time(s) of the course, increase the Course fee or increase the maximum number of Students in a group, and this change applies to your Course, you can end the Course without penalty citing the Course change, even if you are in the Minimum Period, starting from the date on which the modification enters into force, by sending a formal notification to this effect to birou@centrulminerva.ro, before the date on which the modification enters into force. If you have paid an enrollment fee for the Course, we will issue, no later than 14 days from the date of interruption of participation in the Course made under this title, a credit note under the heading “11.5.5 Registration fee credit notes”, and we will refund you the full amount owed.

The Customer’s right to complete a course according to the title “18. COMPLETION OF A COURSE BY CUSTOMER” is not affected.

In the event that we make any of the above changes, we will notify you of this change along with the date from which it applies, at least 30 days prior to the application.

In addition, although we will try to keep the same Teacher throughout the Course, we reserve the right to replace the Teacher at our discretion, notifying you without undue delay.

16.2 Cancellation of a session

16.2.1 Cancellation of an individual Course session

In the event that we have to cancel a session, we will try to reschedule the session with you on a day and time during the Teacher’s schedule that is convenient for the Student. If rescheduling is not possible, we will issue, within 7 days from the date of the missed session or from the date you refuse our recovery proposal, whichever is the later, a credit note for the amount corresponding to the fee for that session.

Unless the Google Meet platform is not functional at the start time of the session, if we notify you less than 24 hours before the scheduled start time of the session, in the event that the Client is not in arrears with payment of the invoice corresponding to the canceled session, we will issue, as a bonus, a credit note for 30% of the price of that session, no later than 7 days from the date of the canceled session. This credit note is issued in addition to the above credit note or session recovery, as applicable.

16.2.2 Cancellation of a Group Course session

In the event that we are unable to hold a scheduled Course session, we will notify you as soon as we become aware of it.

In the event of a session cancellation, if we can provide you with a way to reschedule the session, we will contact you. You are under no obligation to accept the proposal. For rescheduling, the Customer will not have to pay anything extra to us.

Where the session is not rescheduled, we will issue a credit note for the fee of that session, no later than 7 days from the date of the canceled session.

16.2.3 Cancellation of a Third-Party Group Course session

In the event that we are unable to hold a scheduled Course session, including for third-party reasons, we will notify you as soon as we become aware of it.

We will issue a credit note for the fee of that session, no later than 7 days from the date of the canceled session.

16.3 Suspension and Termination of the Course

You accept that Centrul Minerva reserves the right to exceptionally suspend or stop the Course.

In the situation where we are temporarily unable to continue a Course, we will suspend that Course. In this case we will pause your subscription, if you have one. Credit notes will be issued according to titles 11.5.2–11.5.4.

In the event of suspension, if the suspension is expected to last more than 28 days, within no more than 7 days of the suspension we will refund your customer balance, when in credit, to the original payment method.

If the suspension, which is initially reasonably expected to last no more than 28 days, reaches the 29th day, within no more than 7 days of the 29th day we will refund your customer balance , when in credit, to the original payment method.

In the event of suspension of the Course, the Client/Student remains enrolled in the Course and is responsible for paying the subscription/invoice once the Course resumes.

We will notify you of the resumption of the Course at least 72 hours before the resumption. We will issue new invoices and reactivate the subscription, with the appropriate adjustments, if applicable, for the resumption of the Course.

In the situation where we are unable to continue a Course, or if the number of Students for a Course becomes too small, we will be able to stop that Course. We also reserve the right to stop a Course if we have to reorganize our business schedule.

In the event of stopping the Course, we will issue you a credit note according to the heading “11.5 Credit Notes” and we will refund all amounts due, within no more than 14 days after the stop. Where the Course has a Minimum Period, the early termination fee does not apply if we stop the Course during the Minimum Period.

17. COURSE CHANGES REQUESTED BY THE CUSTOMER

17.1 Rescheduling a session

17.1.1 Individual courses

Rescheduling a session implies the Student not participating in the initial session. This is considered absence, and is regulated by the provisions of title “12. ABSENCES”. A request to reschedule a session without clearly specifying the absence of the Student from that session or the cancellation of that session is not considered a notice of absence/cancellation, for the purposes of this Agreement.

See heading “12. ABSENCES” for rescheduling a session.

17.1.2 Group Courses in the classroom or online

Rescheduling a session implies the Student not participating in the initial session. This is considered absence, and is regulated by the provisions of title “12. ABSENCES”. A request to reschedule a session without clearly specifying the Student’s absence from that session is not considered a notice of absence, for the purposes of this Agreement.

See heading “12. ABSENCES” for rescheduling a session.

17.1.3 Group courses conducted by third parties

For these Courses we cannot offer rescheduling of sessions.

Please note that the title “12. ABSENCES” continue to apply.

17.2 Changing the time of the Course. Change group

If you want to temporarily, for more than two consecutive sessions, or permanently change the group, day and/or time of the Course, please write to us as soon as possible at birou@centrulminerva.ro. We will honor your request within the limits of available places—depending on the level of the Group Courses—and the availability of the Teachers. Once the change is agreed, the old seat may become unavailable immediately, unless we agree to reserve the time slot for you. You agree to pay, where such change is agreed to, the appropriate administrative fee published in Additional Fees.

For Group Classes, we may no longer have any groups at the same level and may not be able to offer group, day and/or time changes.

Within the framework of the Courses held by third parties, the consent of the respective third party may also be required for such a change.

The provisions of title “12. ABSENCES” still apply.

17.3 Cancellation of a session

In the situation where you want to cancel a session, it is necessary to consult the title “12. ABSENCES”.

18. TERMINATION OF A COURSE BY THE CUSTOMER

18.1 Right of Withdrawal

The customer benefits from a period of 14 days from the date of enrollment in a Course to withdraw, without having to justify the decision to withdraw and without incurring costs other than those related to the Services already provided and for the used/damaged materials, if is the case. If the last day of the 14-day period is a non-working day, the period is extended until the next working day.

Withdrawal from a Course does not imply withdrawal/termination of the Agreement, which is optional. For this see the heading “23. TERMINATION OF THE AGREEMENT’.

Centrul Minerva will refund to you all sums it has received as payment from you, less the value of the Services provided and the applicable Additional Fees, including, where applicable, the costs of delivery, without undue delay and in any event no longer no later than 14 days from the date on which we are informed of the decision to withdraw from the Client’s Course contract. Centrul Minerva can postpone the refund until the date of receipt of the returned goods from the Customer.

If you have received materials for the Course free of charge or included in the price, you will have to return these materials in full, in the condition in which you received them or pay us their value according to the value displayed at registration or, if this is missing, according to the invoices received from Centrul Minerva, or, if these two are missing, according to the market price of the materials.

The direct costs related to the return of the goods are fully borne by the Customer, regardless of the return method chosen. If you wish to return the goods in person, you must make an appointment with us for this.

Where the unique access code included in any of the materials received has been exposed in whole or in part by scraping, that material can no longer be returned, being considered fully damaged.

Also, where any of the exercises in the Course materials are solved, even in part, you agree that that material is considered damaged in its entirety as it can no longer be resold.

Where a material is in the form of a set, we cannot offer any refund where the Customer returns only part of the components of the set to us.

In the event that the returned materials are not in the condition in which you originally received them, you agree that you owe us an amount corresponding to the decrease in the value of the goods, an amount to be determined by Centrul Minerva.

If you return a completely damaged material or an incomplete set to us, it becomes our property within 14 days of us notifying you that it is completely damaged or the set is incomplete, unless we have received a request from you to return the material to you as well as payment by you for the return by courier according to our shipping rates. In this situation you are not eligible for any refund for that material.

You agree that Centrul Minerva may withhold from the sums owned to you, the amount corresponding to the decrease in the value of the goods.

The refund is made using the payment method used by the Customer for the initial transaction.

To inform Centrul Minerva of your decision to withdraw from the contract, you can use any unequivocal statement expressing your decision to withdraw from the contract, or you can use the form below.

This form is returned completed, by email or post, only if you wish to withdraw from the contract.

*) Even if the date is included in the case of an electronic notification, the date that will be taken into account will be the date of sending the notification even if the date filled in the notification form differs.


If you have purchased Course materials or other products from us on our online store at https://magazin.centrulminerva.ro/ , please note that the sale was subject to separate terms and conditions. Please consult them if you wish to withdraw from the contract of sale of the respective purchased product(s).

18.2 Completion of a Course

You can end a Course by sending us a notification to this effect at birou@centrulminerva.ro, with a notice period of at least 7 (seven) days. If the notice does not specify a notice or when the notice is less than 7 days, the termination will occur within 7 days of receiving the notice. In the case of ending the Course by exercising the right of withdrawal by the Client within 14 days of registration, the notice period does not apply.

In the case of a Course with payment by subscription, if the termination date of the course is after the last session in the Course Calendar, the subscription will not be stopped earlier than the last day of the Course period / billing period.

When the Student starts/continues a Course, we will issue a credit note for advance payments, within no more than 7 days from the date of notification; if the termination is made during the Minimum Course Period, where applicable, we will issue an invoice for the appropriate penalty, unless we state otherwise.

When the Student will no longer participate in any of our Courses, we will issue a credit note for advance payments, within no more than 14 days from the date of notification; if the termination is made within the Minimum Course Period, where applicable, we will issue an invoice for the appropriate early termination fee. If we owe you money, we will repay you the full amount we owe you as soon as we can, but no later than 14 days after the Course stops or we receive the required repayment information from you—for example, your bank account—either it’s the last one.

19. DISCLAIMER OF WARRANTY. LIMITATION OF LIABILITY

In no case will Centrul Minerva be responsible or liable to you for direct or indirect damages resulting from accessing links to third-party sites sent to the Client or during the Course to the Student, by the respective staff of Centrul Minerva Teachers.

Centrul Minerva excludes any responsibility or liability for the behavior of the Student or the Client or other participants in the Course.

In no case will Centrul Minerva be responsible for the situation in which the Student cannot participate in an online session for reasons independent of Centrul Minerva, except for causes due to the non-functioning of the services used by Centrul Minerva for the Course, and, when the participation in such session is not possible due to Centrul Minerva, liability is limited in accordance with this Agreement.

Due to the nature of the Internet, we cannot guarantee, in the case of online sessions, the continuous and uninterrupted operation of the connection.

We do not assume responsibility for direct or indirect damages suffered by Students or Customers in the situation where the Student opens a link (a link) sent on chat or otherwise by another Student.

We do not assume responsibility for unsupervised Children in the Centrul Minerva premises outside of Course hours. We do not take responsibility for unattended children in the vicinity of the Centrul Minerva premises.

In no event shall Centrul Minerva be responsible or liable to you for illness, personal injury, death, direct or indirect damages to you or your Child arising out of or resulting from the buildings, facilities, installations, apparatus, equipment , equipment or other such items owned or provided by the third party hosting the Course and with whom you or another parent or guardian of your Child has/has a formal or informal relationship outside of the Course through your or your Child’s participation. to services provided by that third party. In no event shall Centrul Minerva be responsible or liable to you for any acts of intimidation, verbal or physical violence, aggression, rudeness, punishment or humiliation of you or your Child arising out of or resulting from staff, collaborators , associates, subcontractors, invitees or other persons authorized, agreed to or tolerated by the third party hosting the Course and with whom you or another parent or guardian of your Child have a formal or informal relationship outside of the Course through your participation. or your Child to services provided by that third party.

Although we make every effort to provide quality services, Centrul Minerva excludes any responsibility or liability for the situation where the Client is not satisfied with the Student’s progress on the Course. Please contact us immediately with any concerns about your Student’s progress so that we can address the situation.

You accept that we are not responsible for personal items forgotten/lost on the Course.

20. INTELLECTUAL PROPERTY

You agree that the Services, including but not limited to the information, texts, images, music, audio content and other materials, drawings, audio or video clips, contain information and materials for which Centrul Minerva and/or third parties hold copyright and/or other intellectual property rights that are protected by law. You agree that you and your Child will use this information only for private, non-commercial purposes and only for the purpose of participating in the Courses.

Some names, logos or slogans mentioned in this Agreement or in the Courses may be registered trademarks.

21. MAJOR FORCE

Neither party shall be liable for failure or delay in performance of its obligations to the extent caused by special circumstances beyond its control, including acts of force, natural disasters, terrorism, natural riots or war.

22. THE RIGHT TO MODIFY THE AGREEMENT

Centrul Minerva has the right to change or add to this Agreement at any time, with prospective effect only, and to change, delete, stop or impose conditions on the use of the Service, by publishing such changes on the Site our Web. We will send you a Notice of any change by email or other reasonable means. If you are an existing Customer of ours, the changes will be effective on the date specified in the Notice, and your or your Student’s use of the Service after the amended Agreement becomes effective constitutes your acceptance of the terms of the amended Agreement . If you are a Customer of ours and do not accept the terms of the amended Agreement, you may unilaterally terminate the Agreement under the terms under the heading “16.1 Changes to Courses”.

You can access a copy of the current terms of this Agreement on our website at https://www.centrulminerva.ro/documente/acord-servicii/ at any time. You can find out when this Agreement was last modified by checking the “Last Updated” date at the top of the Agreement.

23. TERMINATION OF THE AGREEMENT

For the right of withdrawal, see the heading “18.1 Right of Withdrawal”.

23.1 Duration and Termination

This Agreement is effective when you register with Centrul Minerva and agree to this Agreement and continues until terminated by you or Centrul Minerva.

Completion of the Course/Courses or cessation of participation in the Course/Courses does not imply termination of this Agreement. You may discontinue a Course under the terms of this Agreement. For this see the heading “18. COMPLETION OF A COURSE BY THE CLIENT”.

You may terminate this Agreement by sending a formal notice to this effect to birou@centrulminerva.ro.

A credit note will be issued in accordance with the heading “11.5 Credit Notes”.

23.2 Termination upon modification of the terms of the Agreement

If you are a Customer of ours and you do not accept the terms of the amended Agreement when the changes to the Agreement apply to you or may apply to you, you may unilaterally terminate the Agreement, cancel your registration with Centrul Minerva and discontinue the Courses, beginning on that the changes will enter into force, by sending a written notification to birou@centrulminerva.ro in which you explicitly specify the termination decision due to non-acceptance of the changes to the Agreement that apply to your situation. You agree that, in this event, your payment obligations for the Courses you or the Student have already taken, and our repayment obligations, will still apply.

23.5 Effects of Termination

As of the termination of this Agreement, you or the Student will no longer be able to participate in any Courses. Termination does not relieve you of your obligations under this Agreement. You agree to pay all of your payment obligations upon termination of the Agreement. In the case of Group Courses conducted by third parties, your or the Student’s continued participation in the Courses constitutes a renewal of your consent to the terms of this Agreement.

Your payment obligations and our obligations will continue in accordance with this Agreement. If there are sessions scheduled between the termination of the Agreement and the expiration of the notice period for termination of Courses under this Agreement, those sessions will be considered missed absences at the time of termination.

A credit note will be issued in accordance with the heading “11.5 Credit Notes”.

If we owe you money, we will repay you the full amount we owe you as soon as we can, but no later than 14 days after the Course stops or we receive the required repayment information from you—for example, your bank account—either it’s the last one.

24. COMPLAINTS

If you have a complaint about our services or about payments, please contact us at birou@centrulminerva.ro and we will try to resolve the complaint.

If you are not satisfied with the response to your complaint, you may be eligible to use the European Online Dispute Resolution Platform (SOL) available at https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home2.show&lng=EN .

This does not limit your legal rights.
